SUBJECT: InterClean, Inc. Merger and Importance of Behavior Exhibited by Managers
This memo is to inform managers the importance of his or her behavior as InterClean, Inc. and Enviro Tech, Inc. merge into one corporation. This merger has the potential to affect various aspects of the organization. During times of change, a manager’s behavior is a critical success factor in merging two corporations.

During this time of change, there will be job realignments or possible eliminations. Managers will face many laws and pressure to retain top talent within the new organization. Managers need to be clear and concise about job requirements and performance standards. An important component is to treat people as individuals and evaluate each individual fairly related to job and performance standards. This will eliminate any issues pertaining to specific laws. According to Cascio (2005) “It is only when candidates are excluded on a prohibited basis, one that is not related to the job (e.g., age, race, gender), that unlawful and unfair discrimination exists” (p. 78). Cascio (2005) stated “People would be considered for jobs not on basis of color, religion, gender or national origin, but rather on basis of abilities and talents that are necessary to perform a job” (p. 81). If managers actions are not in alignment with the laws, hefty penalties apply, and potential for lawsuits. Managers must base employment decisions on ability.
